Real Estate Attorney
PURPOSE/MISSION:
The will be responsible for handling all real estate-related legal issues, including transfers of titles and deeds, construction, mortgage concerns, and zoning. Provides legal advice and consultation to the Company. Reviews and recommends institutional policies and procedures, reviews or prepares contracts and other legal documents, and provides legal opinions to the Company as directed by the President. Oversees and coordinates the Company’s commitment to comply with all applicable legal and regulatory obligations.
Primary Responsibilities:
· Advises senior leadership on all legal rights and obligations and negotiates, drafts, and reviews all contracts for all business entities
· Negotiates and reviews all business entity agreements, including but not limited to vendor agreements, non-disclosure agreements, joint venture agreements, operation agreements, real estate agreements
· Leads through collaboration, innovative management concepts, and initiatives to meet program goals and objectives in the most effective and efficient manner
· Manages the drafting, reviews and implements complex legal contracts and statements of work for all business entities
· Manages and resolves external disputes and litigation as they pertain to all business entities
· May participate and assists in an in-house Legal Department and a network of outside counsel providing support to all business units on a wide range of areas such as Corporate law, Corporate Governance, Commercial lending, , and commercial contracts
· Drafts, reviews, and negotiates real estate transactions, purchase and sale agreements, operating agreements, title review, easement agreements, and other such agreements
· Heads legal advisory for real estate acquisitions, business and capital formation, mergers, joint ventures, and divestitures
· Reviews leases to support operational risk mitigation efforts
· Works collaboratively across the organization, sharing knowledge and building trust, demonstrating leadership through effective delegation, mentoring, and team building. Share information, perspective, and expertise.
· May participate and assist with hiring within the department and works to attract, retain, and develop team members
· Supports the mentoring and training of staff members
· May participate and assist in developing performance standards, sets job expectations, and give ongoing feedback and annual performance ratings to direct reports
· Responsible for compliance with all applicable SEC, State, and Federal regulations
· Participates in the development of corporate policies, internal governance policies, and procedures
· May participate and assist in the selection, retention, management, and evaluation of all outside counsel
· Develops risk mitigation strategies (corporate, asset management, and operations)
· Establishes and maintains collaborative working relationships with internal and external business partners

EDUCATION/EXPERIENCE REQUIREMENTS:
· Juris Doctorate from an accredited school of law, required
· Licensed to practice law in the Commonwealth of Pennsylvania (member of the bar or Limited In-House Corporate Counsel License), required
· Minimum 10 years’ experience in real estate law, commercial leasing and bank loan documentation, required
· Proficiency utilizing Microsoft (Word/Excel/Outlook)
· Travel up to 10%

Pay: $125,000.00 - $135,000.00 per year
